Terms of Service

1. Acceptance of Terms

By creating an account, accessing, or using any RazorSwift service, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you are using our services on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these Terms.

If you do not agree to these Terms, you may not access or use our services.

2. Description of Services

RazorSwift provides an Agentic AI-powered talent operations platform that includes, but is not limited to:

• Resume parsing, standardization, and cohort organization tools
• AI-powered candidate search, matching, and ranking agents
• Automated communication and interview orchestration
• Job description generation tools
• Analytics dashboards and workforce visibility tools
• API integrations with third-party HR systems

We reserve the right to modify, suspend, or discontinue any part of our services at any time with reasonable notice to existing customers.

3. Accounts

To use RazorSwift's services, you must create an account. You agree to:

• Provide accurate, complete, and current information during registration
• Maintain the security of your account credentials
• Promptly notify us of any unauthorized access or security breach
• Be responsible for all activity that occurs under your account
• Not share your credentials with unauthorized parties

We reserve the right to suspend or terminate accounts that violate these Terms.

4. Acceptable Use

You agree to use our services only for lawful purposes and in accordance with these Terms. You agree NOT to:

• Use our services to discriminate against candidates based on protected characteristics (race, gender, religion, disability, etc.)
• Upload or process data without the legal right to do so
• Reverse engineer, decompile, or attempt to extract our AI models or source code
• Use our services to send unsolicited communications (spam)
• Attempt to gain unauthorized access to our systems or other users' data
• Use our services in violation of applicable employment or data protection laws
• Resell or sublicense our services without written authorization

5. Intellectual Property

Our IP

RazorSwift and its licensors own all rights, title, and interest in our platform, AI models, software, documentation, trademarks, and other intellectual property. These Terms do not grant you any ownership rights. only a limited license to use our services as described herein.

Your data

You retain full ownership of all data you upload to our platform ("Customer Data"). By using our services, you grant RazorSwift a limited, non-exclusive license to process your Customer Data solely to provide our services to you.

Feedback

If you provide feedback, suggestions, or ideas about our services, you grant RazorSwift the right to use such feedback without restriction or compensation.

6. Data & Privacy

Our collection and use of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference. For enterprise customers, a separate Data Processing Agreement (DPA) governs our handling of candidate data processed on your behalf.

You are responsible for ensuring you have the legal right and appropriate consent to upload candidate data to our platform, and for complying with applicable data protection laws (GDPR, DPDP Act, CCPA, etc.) in your jurisdiction.

7. Payment Terms

Paid services are billed according to the subscription plan you select. Unless otherwise stated:

• Subscriptions are billed in advance on a monthly or annual basis
• All fees are non-refundable except as required by law or as explicitly stated in your order form
• We reserve the right to change pricing with 30 days' notice
• Overdue accounts may result in service suspension after 15 days
• All prices are exclusive of applicable taxes

8. Warranties & Disclaimers

Our services are provided "as is" and "as available." To the maximum extent permitted by law, RazorSwift disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant that our AI agents will be error-free, that results will be 100% accurate, or that the service will be uninterrupted. Hiring decisions remain the sole responsibility of our customers. Our AI recommendations are tools to assist, not replace, human judgment.

9. Limitation of Liability

To the maximum extent permitted by law, RazorSwift's total liability to you for any claim arising from these Terms or your use of our services shall not exceed the amount you paid us in the 12 months preceding the claim.

In no event shall RazorSwift be liable for indirect, incidental, special, consequential, or punitive damages, including lost profits, even if we have been advised of the possibility of such damages.

10. Indemnification

You agree to indemnify, defend, and hold harmless RazorSwift and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of your use of our services, violation of these Terms, or infringement of any third-party rights.

11. Termination

Either party may terminate the agreement with 30 days' written notice. RazorSwift may terminate immediately if you materially breach these Terms and fail to cure the breach within 10 days of notice. Upon termination:

• Your access to the platform will be revoked
• You may request an export of your Customer Data within 30 days of termination
• After 30 days, your data will be permanently deleted per our retention policy

12. Governing Law

These Terms are governed by the laws of India, without regard to conflict of law principles. Any disputes shall be subject to the exclusive jurisdiction of courts in Bangalore, Karnataka, India.

For customers in the European Union, additional rights under GDPR and EU consumer protection law apply and are not limited by these Terms.
